Healthcare Attorney with 2 to 4 years of experience for dynamic Healthcare Regulatory and Corporate Transactional practice. Experience in contract drafting and review, including Operating Agreements, Shareholder Agreements, Employment Agreements, Asset Purchase Agreements, Stock or Membership Interest Purchase Agreements and Joint Venture Agreements. Experience in the negotiations of purchase and sales of businesses, NDAs, LOIs, Term Sheets, APAs and Private Equity Transactions, due diligence and health care regulatory experience or experience representing physicians and/or physician group practices hospitals and/or ambulatory surgical centers is preferred. Land Use Associate with 4 to 6 years of experience in complex land use matters, including handling applications and attending hearings before Planning Boards and Zoning Boards of Adjustment and other administrative agencies; litigation involving actions in lieu of prerogative writs; and related regulatory and permitting matters. Responsibilities include preparing and handling applications for development; handling public hearings; advising clients on land use matters; and working on litigation matters, including drafting pleadings, motions, briefs and other papers. Outstanding academic credentials, excellent written and oral communications and NJ Bar membership in good standing required.
